Terms of Service

1. Agreement to Terms

These Terms of Service (the “Terms”) form a legally binding agreement between you (“you” or “Customer”) and Blinov Tech Ltd, a company registered in England and Wales (Company Number 17089881) with its registered office at 167-169 Great Portland Street, 5th Floor, London W1W 5PF, United Kingdom (“CrossPoster”, “we”, or “us”), governing your access to and use of the CrossPoster website, web application, mobile applications, APIs, and related services (together, the “Service”).

By creating an account, connecting a social media account, or otherwise accessing or using the Service, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Service.

If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms, and “you” refers to that organization.

2. Eligibility

To use the Service, you must:

  • Be at least 16 years of age (18 in jurisdictions where that is the legal age of contract)
  • Have legal capacity to enter into a binding contract under the laws of your jurisdiction
  • Not be barred from receiving the Service under applicable law (including sanctions and export controls)
  • Provide accurate, current, and complete information during registration

We may refuse to provide the Service, suspend your account, or terminate your access for any breach of these eligibility requirements.

3. The Service

CrossPoster is a multi-channel content publishing platform that enables you to compose content and publish it to social media accounts you connect (including Instagram, TikTok, LinkedIn, YouTube, X, Bluesky, Mastodon, Pinterest, and Facebook Pages). Detailed feature descriptions and current platform support are available at crossposter.tech.

We may add, modify, or remove features, supported platforms, or functionality at any time. We will give reasonable advance notice of changes that materially reduce the Service’s functionality for your current plan.

4. Accounts and Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to:

  • Use strong, unique passwords (or our supported single-sign-on providers)
  • Notify us immediately at security@crossposter.tech of any unauthorized access or security incident affecting your account
  • Not share account credentials, except with team members within a workspace you administer
  • Not transfer your account to any other person without our prior written consent

We are not liable for any loss or damage arising from your failure to comply with this Section 4.

5. Subscriptions, Plans, and Payment

5.1 Plans and pricing

Current Service plans, pricing, and feature inclusions are described at crossposter.tech/pricing. By subscribing, you agree to pay the fees described for the plan you select.

5.2 Billing

Fees are billed in advance on a monthly or annual basis according to your selected plan. Payment is processed by Stripe Payments Europe Limited. All fees are stated exclusive of VAT, sales tax, and other applicable taxes, which we will add at the prevailing rate where required by law. Fees are non-refundable except as expressly stated in these Terms or required by applicable law.

5.3 Free trials

Where we offer a free trial, you may cancel before the trial ends to avoid being charged. If you do not cancel, your subscription will renew automatically at the standard fee for your chosen plan. Trial terms (duration, eligibility) are described at the point of sign-up.

5.4 Renewal and cancellation

Subscriptions renew automatically at the end of each billing period unless cancelled. You may cancel at any time through your account settings; cancellation takes effect at the end of your current billing period, and you retain access through that period.

5.5 Price changes

We may change pricing for future billing periods. We will give at least 30 days’ advance notice of any increase by email or in-app notice. If you do not agree to the new price, you may cancel before the change takes effect.

5.6 Failed payments

If a payment fails, we may suspend or downgrade your account until payment is resolved. We will give you reasonable opportunity to correct the payment method before suspension.

5.7 Consumer cancellation rights (UK / EEA)

If you are a consumer in the United Kingdom or the European Economic Area, you have a statutory right to cancel within 14 days of subscribing. By accessing the Service or publishing content during this period, you expressly request that we begin providing the Service before the cancellation period ends, and you acknowledge that you will lose your right to cancel once the Service has been fully provided.

6. Your Content

6.1 Ownership

You retain all ownership and intellectual property rights in the text, images, videos, captions, and any other content you create, upload, or publish through the Service (“Your Content”).

6.2 Licence to operate the Service

By submitting Your Content through the Service, you grant CrossPoster a worldwide, non-exclusive, royalty-free licence to host, store, copy, transmit, format, and display Your Content solely for the purpose of operating the Service for you (including transmitting it to the social media platforms you instruct us to publish to). This licence ends when Your Content is deleted from the Service or your account is terminated, except to the extent we are required to retain copies for legal, backup, or operational continuity purposes.

6.3 Your representations

You represent and warrant that:

  • You own or have the necessary rights, licences, and permissions to submit Your Content and to grant us the licence in Section 6.2
  • Your Content does not infringe any third party’s intellectual property, privacy, or publicity rights
  • Your Content complies with all applicable laws and with the rules of every social media platform you publish it to (see Section 8)

6.4 No editorial responsibility

CrossPoster does not pre-review or moderate Your Content before publishing. We are not responsible for Your Content or for any consequences of its publication.

7. Acceptable Use

You agree NOT to:

  • Use the Service to publish or transmit content that is unlawful, defamatory, harassing, threatening, obscene, or that infringes the rights of others
  • Use the Service to send spam, engage in fake engagement (artificial likes, follows, comments), or otherwise manipulate any social media platform’s metrics
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity
  • Reverse engineer, decompile, or attempt to derive source code from the Service
  • Use the Service to develop a competing product or service
  • Probe, scan, or test vulnerabilities of the Service or its infrastructure other than through our published responsible disclosure programme
  • Use automated means (bots, scrapers) to access or extract data from the Service other than through our documented APIs
  • Circumvent any access control, rate limit, or usage limitation built into the Service
  • Use the Service to violate any applicable law, regulation, or contractual obligation
  • Resell, sublicence, lease, or otherwise commercially exploit the Service except as expressly permitted in your subscription plan

We may, at our discretion, suspend or terminate accounts that violate this Section 7, with or without notice depending on the severity of the breach.

8. Third-Party Platforms

The Service connects to social media platforms operated by third parties (each, a “Third-Party Platform”). Your use of each Third-Party Platform is governed by that platform’s own terms and policies, including but not limited to:

  • LinkedIn: User Agreement, Professional Community Policies, Privacy Policy
  • Meta (Facebook / Instagram): Terms of Service, Instagram Terms of Use
  • TikTok: Terms of Service
  • YouTube: Terms of Service and Google API Services User Data Policy
  • X (Twitter): Terms of Service
  • Pinterest: Terms of Service
  • Bluesky and Mastodon: each operator’s applicable terms

You are solely responsible for complying with each Third-Party Platform’s terms. Violations of those terms can result in suspension or termination of your accounts on those platforms, which CrossPoster cannot prevent or remedy.

Third-Party Platforms may change their APIs, policies, rate limits, or terms at any time, which may affect the functionality of the Service. We do not control Third-Party Platforms and we are not liable for any disruption arising from changes to or unavailability of any Third-Party Platform.

9. Intellectual Property

CrossPoster, including all software, designs, trademarks, logos, and content (other than Your Content and any open-source components used under their respective licences), is owned by Blinov Tech Ltd and is protected by intellectual property laws. The trademark CROSSPOSTER is the subject of UK trademark application UK00004382141, held by Blinov Tech Ltd. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service in accordance with these Terms; no other rights are granted.

Feedback, suggestions, or proposals you provide to us regarding the Service may be used by us without compensation and without any obligation to you.

10. Privacy and Data Protection

Our collection, use, and disclosure of personal data is described in our Privacy Policy, which forms part of these Terms. Where you upload personal data of third parties (including content depicting other individuals or mentioning them by name), you represent that you have the legal basis to do so under applicable data protection law.

11. Disclaimers

The Service is provided on an “as is” and “as available” basis, without warranties of any kind, whether express or implied, to the maximum extent permitted by applicable law. We disclaim all implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted operation.

We do not warrant that the Service will be error-free, that posts will be published successfully to any Third-Party Platform, that data will not be lost, or that any specific result will be achieved through use of the Service. The Service depends on third-party platforms, APIs, and infrastructure outside our control.

Nothing in this Section 11 excludes or limits any warranty or statutory right that cannot be excluded or limited under applicable consumer protection law.

12. Limitation of Liability

To the maximum extent permitted by applicable law, in no event will CrossPoster, its directors, officers, employees, agents, or affiliates be liable to you for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, loss of revenue, loss of business opportunity, loss of data, loss of goodwill, or business interruption, arising out of or related to your use of the Service, whether based on contract, tort (including negligence), strict liability, or any other legal theory, even if we have been advised of the possibility of such damages.

Our total aggregate liability arising out of or related to these Terms or your use of the Service, regardless of the cause of action, will not exceed the greater of (i) the total fees you paid to us in the twelve (12) months preceding the event giving rise to the liability, or (ii) one hundred British pounds (£100).

Nothing in these Terms excludes or limits our liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot be excluded or limited under applicable law.

13. Indemnification

To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless CrossPoster and its directors, officers, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

  • Your use of and access to the Service
  • Your violation of these Terms
  • Your violation of any rights of a third party, including any intellectual property, privacy, or publicity rights
  • Your violation of any Third-Party Platform’s terms or any applicable law
  • Any claim that Your Content caused damage to a third party

14. Termination

14.1 Termination by you

You may terminate your account at any time by cancelling your subscription and then deleting your account through your account settings or by emailing privacy@crossposter.tech.

14.2 Termination by us

We may suspend or terminate your access to the Service, with or without notice, if we reasonably believe you have violated these Terms, if required by law, or if continued provision of the Service is no longer commercially viable. We will give reasonable advance notice of termination for non-cause reasons except where urgent action is required.

14.3 Effect of termination

On termination: (i) your right to access and use the Service ceases; (ii) we may delete Your Content and account data in accordance with our Privacy Policy; (iii) any fees paid for unused subscription periods will be handled in accordance with Section 5.2 and applicable law; (iv) Sections that by their nature should survive termination (including Sections 6.2, 9, 11, 12, 13, 15, and 16) will survive.

15. Governing Law and Jurisdiction

These Terms and any non-contractual obligations arising out of or in connection with them are governed by the laws of England and Wales.

Subject to the next sentence, the courts of England and Wales have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms or their subject matter. If you are a consumer resident in another jurisdiction within the United Kingdom or the European Economic Area, you may also bring proceedings in the courts of your country of residence.

16. Changes to These Terms

We may modify these Terms from time to time. When we make material changes, we will give at least 30 days’ advance notice by email or in-app notification, and we will update the “Last Updated” date at the top of this page. Your continued use of the Service after the effective date of the updated Terms constitutes acceptance of the changes. If you do not agree to the changes, you may cancel your subscription before they take effect.

17. Miscellaneous

17.1 Entire Agreement

These Terms, together with the Privacy Policy and any plan- or feature-specific terms we reference, constitute the entire agreement between you and us regarding the Service and supersede any prior agreements.

17.2 No Waiver

Our failure to enforce any provision of these Terms is not a waiver of that provision or our right to enforce it later.

17.3 Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force, and the invalid provision will be modified to the minimum extent necessary to make it enforceable while preserving its intent.

17.4 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of substantially all our assets.

17.5 Force Majeure

We are not liable for any failure or delay in providing the Service caused by events beyond our reasonable control, including acts of God, war, terrorism, civil unrest, government action, labour disputes, power or internet failures, or failures of Third-Party Platforms.

17.6 No Third-Party Beneficiaries

These Terms confer no rights on any third party. The Contracts (Rights of Third Parties) Act 1999 does not apply.

17.7 Notices

Notices to us should be sent to support@crossposter.tech. Notices to you may be given by email to the address associated with your account or by in-app notification, and are deemed received when sent.
